Terms and Conditions of BANDAI Buyer’s Link

These Terms and Conditions for Membership of BANDAI Buyer’s Link (hereinafter referred to as these “Terms and Conditions”) govern the relationship between BANDAI Co., Ltd. (hereinafter referred to as the “Company”) and members of the BANDAI Buyer’s Link operated by the Company (hereinafter referred to as the “Service”).

Article 1 (Definitions)

  1. “The Service” means the service in which members are able to browse, download, or view, the catalogs of the Company’s products on the Internet.
  2. “Member” means the individual who agrees to these Terms and Conditions and applies for membership in accordance with the procedures specified by the Company.

Article 2 (Method of Applying for Membership)

A person who intends to be a Member shall complete an application by agreeing to all of these Terms and Conditions and by filing and registering the required information, such as the name of the corporation to which the person belongs, name of the person in charge, department name, address, telephone number, and e-mail address (the person uses to check e-mails regularly) (hereinafter referred to as the “Member Information”) in the prescribed manner.

Article 3 (Qualifications for Membership)

A person shall satisfy the following requirements to become a Member:

  • (1) The person has business transactions with the Company or the person belongs to a corporation having or intending to have business transactions with the Company.
  • (2) The person is capable of communicating with the Company by transmitting and receiving e-mails..
  • (3) The person has an internet environment that provides access to the Service.

Article 4 (Voluntary Withdrawal)

A Member shall undertake the procedures to be advised separately to voluntarily withdraw from membership.

Article 5 (Amendment of Member Information)

If a Member finds any error in the registered Member Information or if there are any changes to his/her Member Information, the Member shall amend the information by promptly undertaking the procedures to be advised separately and keep the Member Information up to date.

Article 6 (Management of ID and Password)

  1. A Member shall manage the ID and password granted in the Service in a strict manner.
  2. A Member shall assume any liability or responsibility for the use of such ID and password, and the Company shall not be liable or responsible for any damage suffered by the Member due to unauthorized use by a third party, including theft of the ID and password etc.

Article 7 (Vesting of Rights)

Copyrights and any other intellectual property rights to the Service shall be vested in the Company or its third party licensors.

Article 8 (Prohibitions)

If the Company judges that a Member engages in or attempts to engage in any of the following acts, the Company may take appropriate action against the Member, such as revocation of the membership and revocation of the qualification to subsequently use the Service, without prior notice.

  • (1) Registration of false Member Information or duplicate registration by the same person
  • (2) Lease or transfer of the Member’s ID or password to any other person
  • (3) An act of infringing copyrights to any contents of the Service
  • (4) An act of interfering with smooth operation of the Service, such as unauthorized access to the Service and unauthorized use or falsification of information (including the disclosure of information to a third party before the release date)
  • (5) An act of breaching these Terms and Conditions
  • (6) An act of breaching laws and regulations
  • (7) An act of violating the rules as a Member specified by the Company separately
  • (8) Any other acts that the Company deems inappropriate

Article 9 (Compulsory Withdrawal and Compensation for Damages)

If a Member falls under any of the following cases, the Company may disqualify the Member. The Company may determine at its sole discretion whether a Member falls under any of the following cases. If a Member has engaged in any of the following acts, the Member shall be liable for any damage suffered by the Company thereby:

  • (1) Ceasing to satisfy the requirements prescribed in Article 3
  • (2) An act falling under the prohibitions prescribed in Article 8
  • (3) An act that is likely to constitute the act prescribed in (2) above
  • (4) No login for a period of one year or more

Article 10 (Questionnaire, etc.)

  1. The Company may use, without charge, any opinions, answers to questionnaires and ideas for product planning etc. as provided by Members.
  2. A Member shall not assert any rights against the Company in relation to the opinions, answers to questionnaires and ideas for product planning provided by him/her.

Article 11 (Inquiry)

  1. Any inquiry to the Service shall be handled by the Administration Office for BANDAI Buyer’s Link of BANDAI Co., Ltd. in the manner to be advised separately.
  2. The Company or its subcontractors may transmit such business communications and send by mail such business guidance and promotional materials etc. as are necessary for the operation of the Service.

Article 12 (Suspension, Change, Modification, Addition, or Deletion of the Service)

The Company may at any time suspend, change, modify, add, or delete portions of the Service provided by it without prior notice to and approval of the Members. In this case, the Company shall not be liable or responsible for any damage suffered by a Member due to the suspension, changes, modification, addition, or deletion of the Service.

Article 13 (Service Maintenance)

Maintenance of the network shall be performed on a regular or irregular basis. A Member shall not make any objection against the suspension of the Service during such period of maintenance, and a Member shall not claim compensation from the Company for any damage suffered by the Member due to such maintenance.

Article 14 (Member Information)

  1. The Company shall not use the Member Information for any purpose other than the operation of the Service; provided, however, that this shall not apply to any of the following cases:
    • (1) If the Company sends to the Member e-mails or postal mails etc. for the purpose of advertisements and promotion of the Company
    • (2) If the Member’s consent is obtained
  2. The Company may provide the Member Information to a third party to the extent necessary for the operation of the Service subject to execution of the confidentiality agreement with such third party. In addition, the Company may provide the Member Information to a third party to the extent necessary in any of the following cases:
    • (1) If disclosure of such information is required for the protection of public interest or by public authority and it is not legally permitted to refuse to do so
    • (2) If the Member’s consent is obtained
  3. The Company may compile and analyze the attributes of the Member Information and use or make them a reference for the development of new services and consideration thereof, etc.

Article 15 (Revision of Terms and Conditions)

The Company may revise these Terms and Conditions without prior notice to and approval of Members. In this case, the Company shall notify Members to that effect by the method that the Company deems appropriate (such as communication via e-mail and posting on the Service), and the Terms and Conditions as revised shall become effective at the time of such notification.

Article 16 (Disclaimer)

  1. The Company shall not be liable or responsible for any damage suffered by a Member due to disruption, delay or discontinuation of systems or loss of data due to failure of communication lines or computers etc. or unauthorized access to data.
  2. The Company shall not be liable or responsible for any disadvantage or damage suffered by a Member in relation to the provision or suspension of the Service.
  3. The Company shall be held harmless against any disadvantage etc. suffered by a Member if such disadvantage etc. is caused by the handling by the Company based on the content of the registration.
  4. If a Member causes any damage to any other Member or third party due to the use of the Service, the Member shall resolve such matter on his/her own responsibility and at his/her own expense and shall indemnify and hold the Company harmless.

Article 17 (Court of Competent Jurisdiction)

If the necessity for a lawsuit arises between the Company and a Member about these Terms and Conditions in relation to the use of the Service, the Tokyo District Court shall have exclusive jurisdiction over such lawsuit. Notwithstanding the foregoing, this Article shall not apply to the Member who lives outside the territory of Japan.

Article 18 (Governing Law)

The conclusion, effect, performance, and construction of these Terms and Conditions shall be governed by the laws of Japan.
